Terms of Service

Welcome to Sonic Grid. Before you dive in, please take a moment to read these Terms of Service. They exist to protect you, protect other creators on the platform, and make sure Sonic Grid remains a space built on trust, creativity, and respect.

By accessing or using Sonic Grid — whether that means creating an account, uploading your music, browsing content, or interacting with the community — you agree to these Terms. If you do not agree, please do not use the platform.

We have written these terms to be as clear and human as possible. If something is confusing, reach out to us at support@sonicgrid.co and we will explain it.

01. Who Can Use Sonic Grid

To use Sonic Grid you must be at least 18 years old, or the age of majority in your jurisdiction if that is higher. If you are between 13 and 17 years old, you may only use Sonic Grid with verifiable consent from a parent or legal guardian. We do not knowingly collect personal information from anyone under 13. If we discover an account belongs to someone under 13 we will close it.

By creating an account you represent that the information you provide is accurate and that you have the legal capacity to enter into these Terms.

02. Your Account

When you create a Sonic Grid account you are responsible for keeping your login credentials secure. Do not share your password with anyone. You are responsible for all activity that happens under your account, whether or not you authorized it.

If you believe your account has been compromised, reset your password immediately and contact us at support@sonicgrid.co. We will do our best to help you recover access and secure your account.

We reserve the right to suspend or permanently close accounts that violate these Terms, our Community Guidelines, or any applicable law. If we close your account for a violation, we will notify you unless we are legally prevented from doing so.

Username and Identity

Your username is your identity on Sonic Grid. Choose it carefully. We may remove or require you to change a username that is offensive, impersonates another person, infringes a trademark, or otherwise violates these Terms. We do not transfer usernames between accounts.

03. What You Can Upload and Share

Sonic Grid is built for artists and creators. You can upload music, visual content, written content, videos, and other creative work. With that comes responsibility. By uploading content to Sonic Grid you confirm that:

  • You own the content, or have the rights and licenses necessary to upload it and grant Sonic Grid the license described in Section 04.
  • Your content does not infringe the copyright, trademark, or other intellectual property rights of any third party.
  • Your content does not violate anyone's right to privacy or publicity.
  • Your content complies with all applicable laws and regulations.
  • Your content does not contain malware, harmful code, or anything designed to damage or interfere with our systems or the systems of others.

You are solely responsible for the content you upload. Sonic Grid does not pre-screen content but reserves the right to remove any content that violates these Terms or our Community Guidelines.

Content You Cannot Upload

The following content is never permitted on Sonic Grid:

  • Content that sexualizes minors in any form.
  • Content that incites violence, hatred, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
  • Content that defames, harasses, stalks, or threatens any individual.
  • Content that infringes copyright or other intellectual property rights.
  • Spam, deceptive content, or misleading information intended to deceive users.
  • Content that promotes or facilitates illegal activity.
  • Malware, viruses, or any harmful code.

Violations of these content standards may result in immediate content removal, account suspension, or permanent termination without refund.

04. Your Content — Ownership and the License You Grant Us

This is one of the most important sections in these Terms. Please read it carefully.

You Own Your Music

Uploading your music to Sonic Grid does not transfer ownership of your music to us. You retain all copyright and ownership rights to your content. Sonic Grid does not claim ownership of anything you create.

The License You Grant Sonic Grid

In order to operate the platform — to host, display, stream, and share your content as you intend — you grant Sonic Grid a limited, non-exclusive, royalty-free, worldwide license to:

  • Host and store your content on our servers.
  • Display, stream, and make your content available to other users in accordance with the privacy settings you choose.
  • Create thumbnails, previews, or waveform displays of your content for display within the platform.
  • Reproduce and distribute your content as necessary to operate and improve the platform, including caching and backup copies.

This license exists solely to allow us to run Sonic Grid. We do not sell your music, license it to third parties without your consent, or use it for advertising without your explicit permission.

What We Do Not Do With Your Content

  • We do not sell your music to third parties.
  • We do not use your music to train AI models without your explicit opt-in consent.
  • We do not use your content in advertising or promotional campaigns for Sonic Grid without asking you first.
  • We do not claim any co-ownership, authorship, or creative rights to your work.

When You Delete Content

When you delete content from Sonic Grid, we will remove it from public view promptly. Copies may persist in backup systems for up to 90 days after deletion and will be purged in the ordinary course of our backup rotation. Content you have shared with others may still appear in their activity history or notifications until those caches are cleared.

What Happens to Your Content if Sonic Grid Shuts Down or Is Acquired

In the event that Sonic Grid ceases operations or is acquired by another company, we will provide users with at least 30 days notice and a reasonable opportunity to download their content before any transition. If Sonic Grid is acquired, the acquiring entity will be bound by the same license restrictions described in this section. We will not transfer your content to a third party that intends to use it in ways that contradict these Terms.

05. Music Rights and Copyright

Sonic Grid respects intellectual property rights and expects the same from everyone on the platform.

Your Responsibility for Rights Clearance

If your music contains samples, interpolations, or elements of other copyrighted works, you are responsible for obtaining the necessary licenses and clearances before uploading. Sonic Grid does not verify whether your content is properly licensed — that responsibility rests with you.

This includes but is not limited to: samples from commercial recordings, interpolations of copyrighted melodies, cover recordings of songs you did not write, and any third-party audio or visual material included in your content.

Publishing and Performing Rights

Sonic Grid currently operates as a hosting and distribution platform and is not a music streaming service subject to blanket licensing agreements with ASCAP, BMI, SESAC, or other performing rights organizations. If and when Sonic Grid introduces streaming features that require such licenses, we will obtain the appropriate agreements and update these Terms accordingly.

DMCA — Copyright Takedown Policy

Sonic Grid complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on Sonic Grid infringes your copyright, you may submit a takedown notice to support@sonicgrid.co with the subject line “DMCA Takedown Notice.”

Your notice must include:

  • A description of the copyrighted work you believe has been infringed.
  • A description of where the allegedly infringing content appears on Sonic Grid, including a URL if possible.
  • Your contact information including name, address, telephone number, and email.
  • A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
  • A statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on behalf of the copyright owner.
  • Your physical or electronic signature.

We will investigate all valid takedown notices and remove infringing content promptly. Repeat infringers will have their accounts terminated.

Counter-Notification

If your content was removed in response to a DMCA takedown notice and you believe it was removed in error, you may submit a counter-notification to the same email address. We will forward your counter-notification to the original complainant and restore your content within 10 to 14 business days unless the complainant seeks a court order.

06. Platform Features and Subscriptions

Sonic Grid offers both free and paid tiers of access. The specific features available at each tier are described on our pricing page and are subject to change. We will provide reasonable notice of any material changes to paid subscription features.

Free Tier

The free tier allows users to access core platform features. We reserve the right to adjust what is included in the free tier over time. We will notify users before removing features that were previously available for free.

Paid Subscriptions

Paid subscriptions unlock advanced features including expanded storage, enhanced customization tools, AI-assisted content creation, and premium analytics. By subscribing to a paid plan you agree to the following:

  • Subscriptions are billed on the cycle you select (monthly or annual) and will renew automatically unless you cancel before the renewal date.
  • You authorize us to charge the payment method on file for each renewal period.
  • Prices are subject to change. We will provide at least 30 days notice before increasing subscription prices for existing subscribers.
  • If your payment fails, we will attempt to notify you and provide a reasonable grace period before downgrading or suspending your account.

Refund Policy

Subscriptions are generally non-refundable. If you cancel a paid subscription mid-cycle, you will retain access to paid features until the end of the billing period. We will consider refund requests on a case-by-case basis for exceptional circumstances such as billing errors or extended platform unavailability. Contact support@sonicgrid.co to submit a refund request.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We do not charge cancellation fees.

07. Commerce — Merch, Downloads, and Transactions

Sonic Grid may enable artists to sell music downloads, merchandise, and other products directly through the platform.

Artist Responsibilities

If you sell products through Sonic Grid you are responsible for:

  • Accurately describing your products and delivering them as described.
  • Fulfilling orders in a timely manner.
  • Complying with all applicable laws governing the sale of goods and services, including consumer protection laws and tax obligations.
  • Obtaining any necessary licenses for the music or content you sell, including mechanical licenses for downloadable recordings.
  • Handling customer service and resolving disputes with buyers in good faith.

Platform Fees

Sonic Grid charges a platform fee on transactions processed through the platform. The current fee structure is available at sonicgrid.co/pricing and is subject to change with 30 days notice. You are responsible for any applicable taxes on your sales.

Payouts

Earnings from sales on Sonic Grid are paid out on a rolling schedule described in your account dashboard. We use third-party payment processors to handle transactions. We are not responsible for delays caused by payment processors or your financial institution.

Prohibited Commerce

You may not use Sonic Grid to sell counterfeit goods, stolen content, illegal items, or anything that violates these Terms or applicable law. Doing so will result in immediate account termination and may be reported to relevant authorities.

08. Community Standards

Respect

Treat other members of the community with respect. Harassment, hate speech, bullying, and targeted abuse of any kind are not permitted. This applies to comments, messages, profile content, and any other interaction on the platform.

Authenticity

Do not impersonate other artists, public figures, or Sonic Grid staff. Do not create fake accounts or use the platform in a deceptive way. Do not use bots or automated tools to artificially inflate plays, followers, or engagement.

Privacy

Do not share private information about other users without their consent. Do not record or share private conversations without permission. Do not use Sonic Grid to stalk, monitor, or gather personal information about other users.

Spam and Commercial Abuse

Do not use Sonic Grid to send spam, unsolicited promotional messages, or to engage in any form of commercial activity not permitted by these Terms. Systematic or automated scraping of the platform is prohibited.

09. Privacy

Your privacy matters to us. Our Privacy Policy explains how we collect, use, store, and protect your personal information. It is incorporated into these Terms by reference and forms part of the agreement between you and Sonic Grid.

California Privacy Rights

If you are a California resident, you have specific rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), including the right to know what personal information we collect, the right to delete it, and the right to opt out of any sale or sharing of your data. See our full Privacy Policy for details on how to exercise these rights.

10. Platform Availability and Changes

Service Availability

We work hard to keep Sonic Grid running reliably, but we cannot guarantee uninterrupted access. The platform may be unavailable from time to time due to maintenance, technical issues, or circumstances outside our control. We are not liable for losses caused by platform downtime.

Changes to the Platform

Sonic Grid is an evolving platform. We may add, modify, or remove features at any time. We will do our best to give users reasonable advance notice of significant changes, particularly changes that affect paid features or content access.

Changes to These Terms

We may update these Terms of Service at any time. If we make material changes, we will notify you by email or through a notice on the platform at least 14 days before the changes take effect. Your continued use of Sonic Grid after the effective date of the updated Terms constitutes your acceptance of those changes.

If you do not agree to updated Terms, you may close your account before the changes take effect. The most current version of these Terms will always be available at sonicgrid.co/terms.

11. Termination

Your Right to Leave

You may close your Sonic Grid account at any time by visiting your account settings or contacting us at support@sonicgrid.co. When you close your account, your public profile will be removed. Content you have uploaded may take up to 90 days to be fully removed from our systems.

Our Right to Terminate

Sonic Grid may suspend or permanently terminate your account if you violate these Terms, our Community Guidelines, or any applicable law. We may also suspend accounts in cases of suspected fraud, security risk, or other situations where we believe immediate action is necessary to protect the platform or its users.

Effect of Termination

Upon termination, your right to use Sonic Grid ends immediately. Sections of these Terms that by their nature should survive termination will do so, including ownership rights, the DMCA policy, limitation of liability, dispute resolution, and governing law.

12. Disclaimers and Limitation of Liability

Platform Provided As Is

Sonic Grid is provided on an as-is and as-available basis. We make no warranties, express or implied, about the platform's reliability, accuracy, fitness for a particular purpose, or non-infringement. We do not guarantee that the platform will be error-free, uninterrupted, or free of viruses or harmful components.

No Guarantee of Results

Sonic Grid does not guarantee that using the platform will result in any particular level of audience, revenue, artistic success, or any other outcome. Discovery, engagement, and monetization depend on many factors outside our control.

Limitation of Liability

To the maximum extent permitted by applicable law, Sonic Grid, its officers, directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform, including but not limited to loss of data, loss of revenue, or loss of profits.

In any case, Sonic Grid's total liability to you for any claim arising from these Terms or your use of the platform will not exceed the greater of (a) the amount you paid to Sonic Grid in the 12 months preceding the claim, or (b) one hundred US dollars ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless Sonic Grid and its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys fees) arising from:

  • Your use of Sonic Grid.
  • Your content, including any claim that your content infringes the rights of a third party.
  • Your violation of these Terms or any applicable law.
  • Your violation of the rights of any other person or entity.

14. Dispute Resolution

Informal Resolution First

We genuinely want to resolve disputes without involving lawyers or courts. If you have a concern or dispute, please contact us first at support@sonicgrid.co and give us 30 days to try to resolve it informally before initiating any formal proceeding.

Binding Arbitration

If we cannot resolve a dispute informally, you and Sonic Grid agree to resolve it through binding arbitration rather than in court, except as noted below. The arbitration will be conducted by a recognized arbitration provider under its applicable rules and will take place in San Francisco, California, or via videoconference. The arbitrator's decision will be final and binding.

Exceptions to Arbitration

  • Claims for injunctive or other equitable relief related to intellectual property infringement.
  • Claims that can be brought in small claims court.
  • Disputes arising from alleged violations of law that cannot be arbitrated under applicable law.

Class Action Waiver

You agree that any arbitration or legal proceeding will be conducted on an individual basis and not as part of a class, collective, or representative action. Some jurisdictions do not allow class action waivers — if you are in such a jurisdiction, this waiver will not apply to you.

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. For any claims not subject to arbitration, you and Sonic Grid consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

15. General Provisions

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Sonic Grid regarding your use of the platform. They supersede any prior agreements or understandings between you and Sonic Grid on this subject.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable. The remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future. Waivers must be in writing and signed by an authorized representative of Sonic Grid to be effective.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Sonic Grid may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the acquiring entity agrees to be bound by these Terms.

Force Majeure

Sonic Grid is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, power failures, or other events outside our control.
