Beta Participation Terms

Welcome to the Sonic Grid beta. These terms are an agreement between you and Sonic Grid, Inc. (“Sonic Grid,” “we,” “us”). By creating a beta account or using the beta, you agree to them. If you don't agree, please don't use the beta.
We've tried to write these in plain language. The short version: your work stays yours, you give us permission to host and show it, you only upload things you have the right to share, and this is a beta, so things will change and sometimes break.
These terms replace our Terms of Service for the duration of the beta. While you are a beta member, this document and our Privacy Policy are the agreement between us. Our Terms of Service remains published for reference and takes effect when Sonic Grid opens to the public, at which point we'll ask you to accept it.
01. The Beta
Sonic Grid is a platform for musicians and creators to publish music and the work around it: images, stories, influences, process, and collaborations. The beta is an early version offered by invitation. Features will change, some will be added or removed, and the service may be interrupted or unavailable. We may reset or migrate data during the beta. Please keep your own copies of anything you upload.
Beta access is personal to you and is at our discretion. We may pause or end access for anyone, or end the beta entirely, at any time.
02. Eligibility
You must be at least 18 years old and able to enter into a binding agreement. If you use the beta on behalf of a band, label, or other organization, you confirm you have authority to accept these terms for it, and “you” includes that organization.
03. Your Account
Keep your login details secure and tell us promptly at support@sonicgrid.co if you think someone else has accessed your account. You are responsible for activity on your account.
04. Your Content Stays Yours
“Your Content” means anything you upload, create, or publish on Sonic Grid, including audio, images, video, text, artwork, and the arrangement of your pages. You keep all ownership rights in Your Content. Nothing in these terms transfers ownership to us.
05. The Permission You Give Us
So we can run the service, you grant Sonic Grid a non-exclusive, worldwide, royalty-free license to host, store, copy, transcode, format, display, publicly perform, stream, and transmit Your Content, and to make technical versions of it such as previews, waveforms, thumbnails, and compressed files. We use this license only to operate, improve, and provide Sonic Grid, and to show Your Content on the platform in the ways you choose.
We won't use Your Content in advertising or marketing outside Sonic Grid without asking you first. We may feature public work within Sonic Grid itself, for example on discovery or showcase pages.
This license ends when you delete Your Content or your account, except that copies may remain for a reasonable period in backups and caches, and content you shared with other members (for example in a collaboration) may remain where they placed it.
06. What You Promise About Your Content
By uploading Your Content, you confirm that:
- you own it, or you have all the rights, licenses, and permissions needed to upload it and grant the license in section 05;
- this includes any samples, cover versions of other people’s songs, beats, loops, images, video, or artwork it contains;
- anyone who performed on, co-wrote, or appears in Your Content has agreed to you sharing it this way;
- sharing it on Sonic Grid doesn’t break any agreement you have with a label, publisher, distributor, or anyone else; and
- it doesn’t infringe anyone’s copyright, trademark, privacy, publicity, or other rights.
If you aren't sure you have the rights to something, please don't upload it.
07. Who Can See Your Content
By default, work you publish during the beta is visible only to signed-in beta members, and Sonic Grid pages are not reachable by the public or indexed by search engines.
We can open an individual member's published work to visitors who don't have an account — so you can share a page with someone outside the beta. If we turn this on for your pages we'll let you know, and you can ask us to turn it off at any time. While it is on, anything you have published is viewable by anyone with the link and may be indexed by search engines. Drafts stay private either way.
You can choose what to publish and can unpublish or delete it at any time.
When Sonic Grid opens to the public, published work becomes viewable by anyone with the link. We'll tell you before that happens, so you can decide what stays published.
08. AI Features
Some Sonic Grid tools use artificial intelligence services provided by third parties. When you use them, the inputs you provide are sent to those providers to generate results. You are responsible for what you create with these tools and for making sure you have the rights to the inputs you use.
We do not use Your Content to train AI models. AI output can be wrong or unexpected, so review it before publishing.
09. Community Rules
Don't use Sonic Grid to:
- upload content you don’t have the rights to;
- harass, threaten, or impersonate anyone, or post hateful content;
- post sexually explicit content involving anyone under 18, or any content that is illegal;
- post someone’s private information without permission;
- spread malware, attempt to access other accounts or systems, scrape the service, or interfere with how it runs; or
- manipulate plays, followers, or other metrics.
Our Community Guidelines set out these standards in full and form part of these terms. We may remove content or suspend accounts that break these rules.
10. Copyright Complaints
We respond to notices of alleged copyright infringement under our Copyright & DMCA Policy, which forms part of these terms. We will end the accounts of members who repeatedly infringe others' rights.
11. Keeping the Beta Between Us
Features you see during the beta that aren't public yet are confidential. Please don't share screenshots or descriptions of unreleased features without our permission. Your own work, and anything you publish, is yours to share however you like.
12. Feedback
We'd love your feedback. If you send us ideas or suggestions, we may use them without owing you anything. This does not give us any rights in Your Content.
13. Fees
The beta is free. If we introduce paid features, we'll tell you in advance and you won't be charged unless you agree to separate terms for them.
14. Ending Your Participation
You can stop using the beta and delete your account at any time. We may suspend or end your access at any time, including if you break these terms. Sections 04, 05 (for the backup period), 06, 12, 15, 16, 17, and 18 continue after your access ends.
15. Disclaimers
The beta is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't promise the beta will be uninterrupted, error-free, or that data won't be lost.
16. Limitation of Liability
To the fullest extent permitted by law, Sonic Grid will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost data, profits, or revenue, arising from the beta. Our total liability for any claim arising from the beta is limited to one hundred U.S. dollars ($100).
17. Responsibility for Your Content
If someone brings a claim against Sonic Grid because Your Content infringes their rights or because you broke these terms, you agree to cover the reasonable costs and losses that result, including reasonable legal fees. We'll let you know about any such claim and give you a chance to help respond.
18. Governing Law
These terms are governed by the laws of the State of California, without regard to conflict of laws rules. Any dispute will be resolved in the state or federal courts located in Alameda County, California, and you and Sonic Grid consent to their jurisdiction.
19. Changes to These Terms
We may update these terms as the beta evolves. If we make a meaningful change, we'll tell you by email or in the product before it takes effect. Continuing to use the beta after that means you accept the updated terms.
